Terms and Conditions

I. GENERAL PROVISIONS

  1. WAS S.r.l., with registered office in Monte di Procida (NA) via Panoramica 51, VAT and  fiscal code 10043231215, grants all customers to use the www.worldautomationstore.com Website, owned exclusively by WAS S.r.l., with which it offers e-commerce, e-business, online negotiation (e-sourcing), and online marketing in all their forms (business to consumer, business to business, and more) via telematic networks, electronics, internet and computer tools in general, independently and/or for third parties, through license, orders, mandates, agencies, with or without representation, with or without warehouse, in Italy and abroad, both wholesale and retail, for import-export, conducting commercial business, and electronic transactions; products for automation in general, industrial machinery and equipment, electrical and electronic equipment and components, for the naval, aerospace, aeronautical, civil and industrial sectors; wholesale and retail trade of products and provisions of service offered via web Platform following: general industrial material, industrial machinery and equipment, electrical and electronic equipment and components, for the naval, aerospace, aeronautical, civil and industrial sectors; other electronical devices for telecommunications and electronic components; tools and equipment used for non-scientific measurement; agricultural tools and utensils, including tractors, and every other wholesale trade not specialized in the sectors above mentioned; the design, the installation and the maintenance of electrical and electronic materials, including projects and study for automation systems with computer and telematic control systems;

  2. The Customer, when placing an order, express acceptance of both the Terms and Conditions provided in this document. Therefore, the Customer is required to download and save this document. The online publication of these general Terms and Conditions and the confirmation of the purchase order supplied by WAS s.r.l. to the Client upon the payment count as “confirmation of the contract concluded on a durable medium” and fulfillment of conditions provided herein.

  3. WAS S.r.l. reserves the right to modify the present Agreement in case of legislative and regulatory changes, organizational, administrative and technical needs, variations of the contents offered, change and modernization of the technical solutions for the provision of services, on the occasion of technological or computer development, regarding the contractual services. In the above-mentioned cases, WAS S.r.l. will publish on its own Website www.worldautomationstore.com the new version of the General Terms and Conditions, automatically replacing the previous ones. The future use of the services by the Customer, after the amendment of the General Terms and Conditions, will constitute the acceptance of such amendments. The Customer is, therefore, invited to review the Terms and Conditions at every access to the Website.

  4. WAS S.r.l. is an independent distributor of products for industrial automation, industrial machines and equipment, electrical and electronic equipment and components, for the naval, aerospace, aeronautical, civil and industrial sectors; other electronical devices for telecommunications and electronic components; tools and equipment used for non-scientific measurement; agricultural tools and utensils, including tractors, both new and reconditioned. WAS S.r.l. is not an authorized distributor, or in no way affiliated with the products present on the Website.

  5. The Customers of the Website (“Customer/s”) are mainly VAT number (B2B SALES), and residually and exceptionally, they are final consumers (B2C SALES, “Consumer/s”).

II. SCOPE AND CONTRACT DOCUMENTS. APPLICABLE LAW

  1. The conditions – published, made available and downloadable from the Website – shall apply to all purchase contracts concluded by Customers through the Website and Platform and by exchange of emails between Customer and WAS S.r.l. (“Contract/s”), and shall prevail over any other agreement.

  2. Each contract is therefore governed 

  3. by the Conditions and by the order transmitted through the Website or sent by email (“Order”), if and as confirmed in the WAS S.r.l.’s order confirmation.

  4. In any case, the Italian law shall be applied.

III. REGISTRATION

  1. To use certain features of the Website, Customer can register providing, truthfully and comprehensively, all the information required in the registration form accepting, in full, the privacy policies (https://worldautomationstore.com/privacy-policy-en/)  and these Terms and Conditions. The Customer is responsible for protecting the login credentials. It is therefore understood that in no case WAS S.r.l. is held liable for any loss, theft, leak or unauthorized use from third parties, for any reasons, of the user’s credentials. The data controller is WAS S.r.l.. Download documents related to data processing.

  2. Customers can register at any moment, can terminate it or request its deletion via the Website’s interface, and whenever possible, contacting WAS S.r.l. at [email protected] . In case of violation by the Customer of these Terms and Conditions or of the applicable legal provisions, WAS S.r.l. has the right to suspend or delete the Customer’s account, at any time and without prior notice.

  3. Customers intending to purchase the Products must register in the Website and create an account. The natural person commits the legal entity for which it operates on the Platform. 

  4. By registering on the Website, WAS S.r.l. is authorized to use customers’ data for commercial purposes, to preserve the preferred language and currency during registration, as well as to keep a list of favourite products (even through the “like” button in order to expedite products’ presentation which may be more appropriate to the Customer’s needs compared to browsing itself).

IV. ORDER AND ORDER CONFIRMATION. CONCLUSION OF THE CONTRACT. PRICES OF THE REQUESTED SERVICES

  1. The Customer places the order: 
    1. by choosing the Products on the Website, 
    2. by paying the price including taxes and shipping method chosen among those provided on the Platform and, where already known, any customs fees which remain at the cost of the Customer even if quantified afterward; shipping costs also include packaging; 
    3. by sending the Order following the instructions on the Website or those sent by email by WAS S.r.l.

  2. The Contract shall be deemed to be entered into at the moment in which WAS S.r.l. sends the Order confirmation to the Customer.

  3.   In the inability to conclude the contract, the price paid shall be refunded.

  4. All orders are processed and shipped within 24 hours for products in stock; unless otherwise when ordering the units in the warehouse are finished, the products will be ordered and the delivery time may vary and that does not depend on WAS S.r.l. However, orders will be analyzed case-by-case to find the best solution for the Customer, to whom will be communicated the processing time.

  5. For order of multiple products available in different international warehouses, delivery time may vary from 2 to 30 business days in order to collect them for the delivery.

  6. Restocking time for products labelled “available to order” may vary according to producer’s time; however, if the Customer proceeds with the purchase, WAS S.r.l. reserves the right to refuse refunds because such products are promptly ordered by the producer/provider without any chance without any possibility of return.

  7. To offer quick solutions for some custom products (back-order), WAS S.r.l. can offer the solution rush service; the Customer will thus have the opportunity to choose to pay a higher price in order to receive the product in less time or wait for the producer/provider’s standard time.

  8. Shipments will be carried out from Monday to Friday, from 9 am and 6 pm. Shipments will not be carried out outside these hours.

  9. WAS S.r.l. accepts payment via bank transfer, via PayPal, via Stripe and via credit card of the circuit American Express, Mastercard, Visa. Payments services are provided by third parties and WAS S.r.l. does not receive or process the payment details provided by the Customers (credit card number, holder’s name, pin, etc.). In the event that third-party payment refuses to authorize a payment, WAS S.r.l. cannot provide the Products nor confirm the order or conclude the contract.

  10. Once the order is shipped, WAS S.r.l. will send a confirmation email of the shipment with the tracking number. If the products purchased are not available, a notification of unavailability by e-mail will be sent and whenever possible the supply times.

  11. WAS S.r.l. is not responsible for orders with wrong address.

 

V. DESCRIPTION OF THE PRODUCTS

  1. WAS S.r.l. undertakes to best describe and present the Products sold on the Website. Some errors may occur, inaccuracies or minor differences between the Website and the actual product: however, any images of the products that can be found on the Website does not constitute a contractual element, but simply provides a visual representation of the product.

  2. Products, prices and Conditions of Products Sale, subject to availability, shall not be constituted as a public offer; therefore, must always be considered as approximate and subject to confirmation from WAS S.r.l. via email or order confirmation page, according to the product availability.

  3. The Customer expressly confers WAS S.r.l. the right to accept, in whole or in part, the order (for example if not all selected products are available). In this case, the Contract shall be concluded only in relation to the products that are actually sold.

  4. WAS S.r.l. reserves the right to modify, at any time, the price of the Products and the related shipping costs. It is intended that any changes are not applied to orders already sent and accepted. Shipping costs at the Customer’s expense will be displayed before the confirmation order. 

  5. By placing an order, the Customers agrees to pay all taxes, levies or charges (VAT included) and custom duties provided by law even when not indicated in order to obtain the delivery of the Product. In the event of non-payment of such taxes/levies/charges no liability can therefore be attributed to WAS S.r.l. for non-delivery and/or returning products, passing in any liability to the Customer prior shipment.

  6. WAS S.r.l. shall not be liable for any duties, taxes or brokerage fees applied to the package. The Customer will be responsible for paying the costs for customs clearance. The Declared Value corresponds to the price paid.

  7. If the package is withdrawn or uncollected from the Customer, its liability will involve additional shipping costs and any other taxes or levies by the courier, and WAS S.r.l. shall be entitled to charge the Customer withdrawing the amount form the credit card.

 

VI. INVOICING

  1. All products sold by WAS S.r.l. are always provided with an invoice.
  2. When required by law, a copy of the invoice shall be attached to the package as well as a copy of the DDT.

 

VII. DELIVERY

  1. WAS S.r.l. ships worldwide by DHL.

  2.   For shipments outside the European Community taxes or custom duties may be applied.

  3. For Companies: it is necessary to send WAS S.r.l. the company name, address of the registered office, the VAT identification number required for billing.

  4. Tracking information will be available when the shipment is made. Depending on the carrier, tracking information may be unavailable up to 24 hours after sending of the goods. Once the order has been shipped, the Customer will receive a confirmation email with the tracking number.

  5. In any case, the delivery times indicated from WAS S.r.l. on the Website are purely indicative, especially when the delivery takes place out of Italy. 

  6. In any case, WAS S.r.l. is not responsible for any delays in the delivery, after the shipment has been entrusted to the courier, who is, hence, the only responsible for the deliver and its timing. No responsibility can, therefore, be attributed to WAS S.r.l. in case of delay in the delivery of goods, nor in case of failed delivery of goods due to force majeure, like accidents, explosions, fires, strikes, earthquakes, flooding and any other events that could prevent, in whole or in part, the fulfillment of the Contract within the time allowed.

  7. WAS S.r.l. cannot be held responsible for damaged caused by the courier. It is, therefore, advisable to the Customer to stipulate a special insurance or to contact WAS S.r.l. to learn about the insurance options.

  8. The Customer shall inform, autonomously and under its own responsibility, on custom charges applicable to the delivery and on times and customs clearance formalities of the Products.

VIII. PRODUCTS AVAILABILITY

  1. Some products are not immediately available or they are manufactured to order only (“Customized Products”), as detailed on the product page on the Website.

  2. Orders for Customized Products, Products not available at the time of the Order and Digital Contents are managed by WAS S.r.l. by sending the relevant order to the producer/provider (“Backorder”): WAS S.r.l. informs the Customer about the estimated delivery time; even in this case, delivery dates are to be considered indicative inly, unless otherwise agreed between the Parties. Therefore, in case of particular need of the Customer, it is necessary that the Customer specify to receive the Product within a certain date in order to enable WAS S.r.l.  to consider whether or not to accept the order.

 

IX. POST-DELIVERY FULFILLMENTS

  1. Upon receiving the Product, the Customer is required to check the Product compliance delivered with the order and, only then, the Customer shall proceed with the delivery documents signature, without prejudice of the right of withdrawal expected from the clause “Right of Withdrawal”.

  2. WAS S.r.l. shall not be liable towards any parties or third parties for damages, loss and costs incurred due to non-performance of the Contract for the above-mentioned reasons.

 

 

X. ORDER CANCELLATION POLICY. DELAYS

  1. WAS S.r.l. is exceptionally available to accept the cancellation of the Order without charges, when requested by  the Customer by email (sent to [email protected]), provided that 
    1. WAS S.r.l. has not started the preparation of the Order yet and, in any case,
    2. The Product has not been shipped and, in any case,
    3. It is not a Backorder (communicated to the Customer and/or indicated into the Product data sheet).

  2. The cancellation and refund of the price paid shall be made in accordance with the instructions that shall be provided by WAS S.r.l., from time to time.

  3. In any other case, the request of the Customer to cancel the Order will be evaluated by WAS S.r.l., which, on a case-by-case basis, at its own discretion, may refuse or accept such cancellation, establishing the relevant conditions and charging to the Customer

  4. The contribution for the administrative management of the cancellation and Shipping costs, custom duties, commissions and currency exchange possibly already incurred by WAS S.r.l. in relation to the cancellation Order.

  5. WAS S.r.l. shall notify the Customer via email notification any delays for orders of products not in stock, then to order from the producer. WAS S.r.l. shall await response form the Customer: if the answer is not received, WAS S.r.l. shall process, cancel or refund the order, at its discretion.

  6. For Custom Product (back-order) the number of working days for the shipment of the product is purely indicative and may be subject to delays attributed to the producer/provider.

 

XI. WARRANTY FOR DEFECTS / DEFECTIVE PRODUCTS

  1. WAS S.r.l. warrants that the Products are free from any fault and/or manufacturing defects for the period of 12 (twelve) months after the date of delivery for the reconditioned Products and of 12 (twelve) months from the date of delivery for the new Products, provided that such warranty is compatible with the warranty offered by the manufacturer (“Warranty”).

  2. If the object is lost or damaged during transport, it shall we refunded only in case of insurance.

  3. Whenever the Customer wish to avail the warranty provided for the Products, the Customer shall contact WAS S.rl. at [email protected], under penalty of forfeiture 

  4. Within 5 (five) days form the delivery date in the event of non-compliance in the Product or patent defects and Within 8 (eight) days from the discovery thereof in the case of hidden defects. WAS S.r.l. shall promptly respond the communications and shall indicate the Customer the specific procedure to be followed, considering the category of the products and/or of the alleged defect.
  5. The Warranty does not cover the defects caused by the transport, by misuse or improper assembly or inadequate preservation or maintenance of the Products and degradation caused by the use.

  6. For warranty Products, technicians will check the claimed defect from the Customer that it is s not attributable to its own responsibility (e.g. for tampering) and that the Product/s is/are still covered under warranty.

  7. If the Customer is a Consumer, having purchased the Products for purposes which are outside his business or professional activity, WAS S.r.l. grants the warranty provide for by in the Italian Legislative Decree 206/2005 (“Italian Consumer Code”, article 128 and following) for faults and/or defects of the Products for the period of two years from delivery date (legal warranty of conformity),  provided that such warranty is compatible with the nature of the Products and that this can be considered a consumer good, and that the tax receipt/invoice is present showing the date of purchase.

 

 

XII. WARRANTY FORFEITURE

The tampering, the unauthorized removal, the non-compliance with instructions for the Customer, a different voltage other than that prescribed, the installation of non-original parts or non-complying with technical specifications, failures for improper use of the device, the attempt to repair by unqualified personnel, the damage caused by natural and non-natural disasters (lightnings, fires, flooding, vandalism, etc. ), shall nullify the warranty.

 

XIII. RIGHT OF WITHDRAWAL/RETURN

  1. Withdrawal is in any case excluded.

  2. Exceptionally, and case-by-case and at its discretion, WAS S.r.l. shall recognize the Customer the right to return the Product other than the cases of operation of Warranty, within 15 (fifteen) days from the date of delivery, by completing and submitting the form (“Return”).

  3. The return is excluded for Digital Contents and Customized Products, and is always subject to authorization by WAS S.r.l. that, in case of acceptance, will send instructions and the relevant RMA code.

  4. The Product must be returned within 15 (fifteen) days from the authorization of WAS S.r.l. intact and complete with original manufacturer’s box, packaging, instructions and maintenance manuals, cables and other accessories originally supplied by WAS S.r.l., at its own expense.

  5. The Customer bears all charges/expenses that shall be quantified by WAS S.r.l. also upon receipt and inspection of the Product returned, such as, by way of example, charges/fees for 
    1. Administrative management of the return,
    2. Restocking,
    3. Technical inspection and testing if necessary to make the Product resalable/reusable,
    4. Depreciation of the Product (in particular, when the Product has been unsealed) if it can be resold as reconditioned,
    5. Shipping costs,
    6. Custom duties,
    7. Commissions,
    8. Currency exchange.

  6. WAS s.r.l. will make the refund within the time limits that shall be communicated to the Customer, from time to time, by refunding – where possible – with the same  method of payment used.

  7. The Customer shall contact WAS S.r.l. at info@worldautomationstore.com in order to receive instructions on how to return the Product.

  8. The Customer has the possibility to ensure the material to cover the damage which may have occurred during transit of returns and to use a courier of its choice.

  9. The shipping method chosen must have a tracking number in order to give the opportunity to WAS S.r.l. to have a shipping confirmation. WAS S.r.l. is not liable for loss or damages during the transport of returned products.

XIV. CONSUMER’S RIGHT OF WITHDRAWAL FOR RECONSIDERATION

  1. In the single hypothesis in which the Customer is a Consumer, the Customer may exercise the right of withdrawal on the purchase of products, provided for in Articles 52 and following of the Italian Consumer Code (“Withdrawal”), within 14 (fourteen) working days from delivery date, by sending a communication to WAS S.r.l. at [email protected] with any appropriate declaration manifesting the intention to withdraw.

    1. The Consumer who exercises the withdrawal: 
    2. Returns the Products at its own expense to WAS S.r.l. within 14 (fourteen) days from the communication of the withdrawal, according to WAS S.r.l. instructions;
    3. Bears the full cost of returning the Products subject to withdrawal and Returns the Products intact and sealed n the original manufacturer’s box, packaging, instructions and maintenance manuals, cables and other accessories originally supplied by WAS S.r.l. 

  2. After the verification that all the above conditions are met, within 30 (thirty) days from the receipt of the goods, WAS S.r.l. will refund the price paid for the purchase of the products subject to Withdrawal and returned, by the same mean of payment the Consumer has chosen for the purchase.

  3. The refund, therefore, does not include the costs of delivery and returning of the Products, which remain the responsibility of the Consumer.

  4. Withdrawal is in any case excluded for Digital Contents and Customized Products, pursuant to letters o) and c) of Article 59 of the Italian Consumer Code.

XV.  DAMAGED PRODUCTS IN TRANSIT

  1.  If an insured parcel, containing the purchased products from WAS S.r.l. arrives in damaged condition to the Customer’s address, the Customer must refuse delivery by the courier.

  2. If the Customer accept the delivery of the package, the Customer must:

  3. Take note of the damage on the courier’s delivery document so that WAS S.r.l. can file a complaint;

  4. Store,  as they were delivered, the Products, the original manufacturer’s box and packaging received; and Promptly notify WAS S.r.l. by contacting via email at [email protected] to schedule an inspection by the courier.

  5. If the Customer does not notice the damage and keeps the product received, the original manufacture’s box and packaging and does not communicate to WAS S.r.l., within 3 (three) days from the acceptance of the delivery, the damage of the package, it is considered that the Product has been accepted as if it had arrived intact.

 

XVI. JURISDICTION AND COURT OF LAW

  1. All parties irrevocably agree that the General Conditions for Product Sales and the obligation arising therefrom are entirely subject to the Italian law; disputes concerning  the interpretation, execution and validity of this Agreement are subject to the Italian jurisdiction.

  2. Contracts concluded by the Consumer, instead, are subject to the discipline and regulation from the Consumer Code provided for by in the Italian Legislative Decree 206/2005, with specific reference rules regarding distance contracts, and in the Italian Legislative Decree 70/2003, and in e-commerce, as well as the Civil Code.

  3. All disputes arising out of Contract between the Customer and WAS S.r.l. shall be settled by the Court of Napoli.

 

XVII. ODR PLATFORM. COMPLAINT SUBMISSION. ONLINE DISPUTE RESOLUTION

  1. Any related and/or derived disputes from contracts for the sales of goods and online services between the Consumer and WAS S.r.l. ca ne solved  out of court through the new platform ODR, provided by the Regulation (UE) n. 524/2013. The Consumer may submit a complaint by filling in an electronic template available in the official languages of the European Union, via the ODR platform on the website http://ec.europes.eu/consumers/odr/

XVIII. AMICABLE SETTLEMENT OF THE DISPUTE

WAS S.r.l. undertakes, in any case, to seek an amicable settlement of the dispute and invites the Customers, before making use of the judicial and out-of-court instruments hereinabove, to send an email to the following email address: [email protected].

XIX. INDUSTRIAL AND INTELLECTUAL PROPERTY RIGHTS

  1. These Conditions do not grant the Consumer any license to use the Website and/or individual contents and/or materials available therein. Any other use or reproduction of the Website or materials or contents included herein is severely prohibited.
  2. All trademarks, names and distinctive sings or others, trade names, service marks, word marks,  images, images and logos that appear on the website are and remain the exclusive property of the Owner or its licensors and are protected by applicable trademark laws and international treaties.  Any attempts to copy or reproduce texts and explanatory contents included on the Website, unless authorized, shall be considered a violation of industrial and intellectual property rights.

 

XX. LINKS TO THIRD PARTIES’ WEBSITES

This Website may contain links to third parties’ websites. WAS S.r.l. has no power over these Websites and therefore is not, in no way, liable for their contents. Some of these links may relate to third parties’ websites that provide services via the Website. In such cases, individual services shall be regulated by the General Conditions for the use of the Website and of services provided by such third parties, for which WAS S.r.l. assumes no liability.

XXI. VALIDITY OF THE CONTRACT

The nullity/invalidity of a single of this Contract shall not affect the validity of the same and, therefore, shall not affect the enforceability of the remaining dispositions, that will continue to be valid.

XXII. CONTRACT LANGUAGE

This original Agreement was written in Italian and in English.
